Indian Ministry of Corporate Affairs moves against Ozone Leisure & Resorts Pvt Ltd


Acting on complaint from Bharat Mukti Morcha, Goa State Unit, Indian Ministry of Corporate Affairs through its office of the registrar of companies in Bangalore has moved against Ozone Leisure and Resorts Pvt Ltd based in Bangalore with directors spread out in Mumbai and Goa in addition to Bangalore. The issue is about mortgage of Vanxim island in Tiswadi taluka of Goa to Capital India Finance Limited listed company at Bombay Stock exchange. Its very good development to block sale of lovely Goa.

Will Goa Archbishop's office act decisively now to reverse Vanxim scam?

There is one opportunity coming on the way of the office of the Goa Archbishop to pull out of Vanxim scam. So far their lawyer either kept silent in Courtrooms or openly supported Gaunekar in Vanxim matters, something a matter of deep disgust and a scandal. This time all eyes will be fixed on the lawyers/ agents of the Archbishop. This is a moment of test for everyone to know whether Archbishop of Goa stays firm in the Vanxim mess or willing to take a step to reverse the trend by opposing Gaunekar and supporting village commons of Vanxim - the submerged paddy fields of Vanxim.

It will also be the test for the office of mamlatdar of Tiswadi as the Ligorio Silveira's complaint is still pending in this very office regarding the flooding of Vanxim paddy fields since April 07, 1995, now 23 years have gone by. This case is to come up in the office of Tiswadi Mamlatdar on September 24, 2018. One of the earlier Mamlatdars informed Bharat Mukti Morcha President orally that his office is put under pressure by top politicians and bureaucrats to clear the way for the corporate takeover of Vanxim. Let us observe if Goa Archbishop's office if it continues with Vanxim scam, or what do they make of the opportunity on their way. May good sense prevail.

Vanxim (Capao) Mortgaged!

Bharat Mukti Morcha, Goa Unit takes strong objections to the unethical way Capital India Finance Limited (CIFL) has gone about on Capao island mortgaging of paddy fields and bunds to support Ozone corporate. What is most objectionable is that legal notice dated 24th August 18 is being circulating in Whats app groups giving deadline of 14 days for public objection to the Mortgage already carried on. 

This notice we have reproduced above in public interest informs that Ozone Leisure And Resorts Private Limited from Bangalore has created a first ranking exclusive charge by way of mortgage in favour of Capital India Finance Limited. There is no mention of crucial details as to when this mortgage was effected, for what amount, what are the deposits accepted and what are the terms and conditions agreed upon. 

The notice is in the past tense "created", that means it is already done. Why then ask for objections from Public. Objections had to be solicited before creating a first ranking exclusive change by way of mortgage. As a result this notice becomes a cruel joke on the people of Goa who have been resisting and objecting the way Capao island affairs are handled unethically by the Office of the Archbishop of Goa for past two decades.Click here for links. There is something fishy here and needs further investigation as to why the process has been followed inverted. Why Public objections are invited after the mortgage has already been effected?

According to bloomberg Capital India Finance Limited (CIFL) was known as Bhilwara Tex-Fin Limited and changed its name to Capital India Finance Limited in August 2017. 
According to online documents posted by CIFL their first business strategy is in finding niche and focus on opportunities where banks are not likely to be keen on entering like construction finance, last minute lending and acquisition finance. This means Ozone is not finding any more favour with banks and hence now resorted to equity capital from Bombay Stock exchange.

CIFL is listed on Bombay Stock Exchange (BSE) and files regular reports to them. CIFL were allotted 3,96,83,000 equity shares on June 08, 2018 vide preferential allotment to promoter and non-promoter shareholders.

Legally CIFL is a company that raises funds from shareholders and invests in constructions, real estates and Special Economic Zones (SEZ) under lease rental discounting. Click here. Goa has revolted against SEZs and CIFL is involved in financing them! CIFL provides long loans for 20 years period under Loan against property. Click here.

CIFL has posted letter dated 27/11/2017 online written to the Manager, BSE Ltd with Ref: "Script Code - BSE - 530879". From this letter it is clear that Reserve Bank of India (RBI) has sent approval letter to CIFL to the management team of this company. The RBI letter bears no.DMBS/CMS-6/No.647/05.02.224/2017-18. The composition of the Board is as as under:

The same letter also coveys following significant decisions taken:
1. Mr. Keshav Porwar's appointment as an Additional Director, categorized as  Executive Director. He was appointed also as Managing Director of the Company for the term of 5 years.
2. Mr. Amit Sahai Kulshreshtha's appointment as an Additional Director, categorized as  Executive Director. He was appointed also as CEO of the Company for the term of 5 years.
3. Mr. Vineet Kumar Saxena's appointment as an Additional Director, categorized as  Non-Executive Director. 
4. Mr. Subodh Kumar's appointment as an Additional Director, categorized as  Non-Executive Director. 
5. Ms. Shraddha Kamat Suresh's appointment as an Additional Director, categorized as  Women Non-Executive Director. 
6. Mr. Rahul Ramesh Kumar Jain's designation changed to Non-executive Director.
This letter is signed by Company Secretary Archana Aggarwal.

From this letter letter three things are clear:
1. Identity of Board of Directors who are involved in Capao mischief on behalf of CIFL and Ozone corporate.
2. Reserve Bank of India has given approval for this mischievous management team of CIFL. 
3. Communication is made to Bombay Stock Exchange about this new mischievous team. 

Bharat Mukti Morcha calls upon Board of Directors of CIFL to cut off all the links with Ozone and Capao island.
Bharat Mukti Morcha calls upon Reserve Bank of India to withdraw approval given to the above team of management following their unethical conduct over Capao island mortgage. 
Bharat Mukti Morcha calls upon Bombay Stock Exchange to de-list CIFL.
Bharat Mukti Morcha calls upon all the Shareholders of CIFL to object to Capao mortgage.
Since 2010 there has been prolonged protests over the way tenanted lands were sold by the office of Goa Archbishop to Mahendra P. Gaunekar in unethical manner in February 2006 in violation of Cannon law and in top secrecy. Goa Archbishop Felipe Neri Ferrao himself described this sale as morally wrong. Mahendra P. Gaunekar sold Vanxim to Ozone corporate in August 2015. In December 2015 Vanxim was brought under purview of unethical law Investment Promotion Board. Bharat Mukiti Morcha (BMM) protested and protests continued. BMM protests this mortgage of Vanxim too.
For the Board of Directors of CIFL we leave a link of protest on Capao island that is also known as Vanxim island in Mandovi river.  Here is the first link.
It would do them good to study well and stay aside. the paddy fields has be brought under cultivation again. Here is the second link.
BMM believe that the named Board of directors will take this seriously and go away from Vanxim (Capao). However if the Board of Directors does not withraw from their gaze on Vanxim then suitable action will be initiated against them and those connected and associated with CIFL.

Public are requested the following action:

1. Identify emails and mobile numbers of Board of Directors and send this post to them to let them know that they are unwanted intruders in Goa.

2. Identify shareholders of CIFL and share this write up and get it raised by them publicly.

3. Write to Bombay Stock Exchange and protest against CIFL.

4. Write to Reserve Bank of India and inform them about unethical practices indulged in by CIFL.

We are aware that Rohan Khaute while in the Opposition has spoken out in the Legislative Assembly on Vanxim scam of getting it under Investment Promotion Board. Now that he is Revenue Minister he can very easily intervene and order thorough investigations on Vanxim scam. Complaints are pending in Mamlatdar office from April 1995 unattended. Click here for links. 

If investigation is ordered then all the judgements on Vanxim will be null and void. Neither Gaunekar nor Ozone nor CIFL will be left with anything. Time is not far for this investigation to be launched. CIFL may take note and move out of Goa. We will not tolerate mortgaging of our land. Jai Mulnivasi!

Ozone gaze on East Vanxim

In a bizarre development Ozone corporate has now turned its gaze on Eastern Vanxim in Mandovi river in Goa. After fraudulently  taking over Western Vanxim, also known as Capao Island paddy fields and its embarrassment from the office of the Goa Archbishop via Mahendra Gaunkar, Ozone has launched soft publicity arsenal in a bid to face existing hurdles to put up a five star hotel and luxury villas in the paddy fields of Vanxim. 

The above picture is of calendar we found at the reception counter of the Goa State Pollution Control Board, Panjim accessible to public. April 2018 page of this calendar with Ozone logo on page has helicopter view picture of Vanxim Santus Cristus Church, cemetery and the residential houses. Ozone has has been careful to avoid depicting West Vanxim paddy fields that still lies flooded with river water due to vested interests. 

April is significant for Ozone as it is in April 1999 agreement was signed to sell Vanxim by the office of the Goa Archbishop with Fr. Victor Rodrigues signing out Vanxim to Mahendra Gaunekar without recording address of Gaunekar in Panjim. 

In a Calendar message Ozone has claimed that it is committed to making a difference. One is justified in questioning the claim. One visible difference to the island has been rise in moral corruption of the local people as Ozone and Gaunekar went on pumping money, bribing and co-opting local people and CBI refused to investigate corruption involved at highest level of political, bureaucratic and religious echelons.

Ozone does not stop at this. It has gone ahead and now playing God: Breathing new life! Ozone has taken manipulative snapshot of Vanxim history in just twenty words like this: Vanxim Island, Goa is a place where the vagaries of nature forced people to flee from the life they have known. Vanxim people knew the life as working in paddy filed and fishing, living in abundance of food security and rearing cattle by few, goats by few and hens by most. This life was violently disrupted when sluice gates were deliberately damaged by vested interests led by Narayana Bhosle who currently resides in Divar, Santarbhat. The documentary evidence to this can be accessed from here. The complaint dated 17 April 1995 is still lying before the Mamalatdar of Tiswadi as evident from the documents. Ozone only benefited from the destruction of paddy cultivation to further its evil intentions of constructing a five star hotel and luxury villas, a project of nearly 1000 crores and another one at Old Goa near North Goa MP Shripad Naik residence called porta de Capao. Did ozone make any difference to local people in any way? No. Situation is as it is. In fact Ozone manipulated court cases, putting people under pressure of legal system and forced to give up paddy fields illegally, unethically. Here is one example at this link. So it is not the vagaries of nature that forced people to flee from the life they have known, it is the corrupt political, administrative and religious system that has caused this.

The second sentence reads "We adopted the island and the entire population, making sure they rediscovered, their cherished earlier style of life" When was island of Vanxim adopted by Ozone? Under which law? Under whose authority? People are working and earning their livelihood for themselves and their families. Who is Ozone to write that they have adopted us in Vanxim? Are we orphans? Mass of People from Vanxim has already decided that Ozone should get out of Vanxim and here is the links to the scanned letter to the Chief Minister in case any one forgot.

Perhaps filing of criminal cases and arrests of Vanxim women was the symptoms of delinquent adopted children gone astray and paternal discipline was called for with collaboration with local MLA Madkaikar and PI Corte of Old Goa Police station.   


We request everyone to share this post widely so that truth of Vanxim Island and its population adoption by Ozone corporate is known far and wide. And yes we are eager to know the response from the office of the Goa Archbishop where this scam originated. We are waiting for the NOC from tenants association of Vanxim that Archbishop says exists but kept secret for few decades.Why? When it will be made public?

Goa Power Minister not bothered: Electricity workers in Malar, Diwar, Vanxim forced on foot

Electricity department employees attached to Corlim office are deprived of the vehicle to move about to attend to the calls from public in jurisdiction that includes Islands villages of Diwar, Malar and Vanxim. Tragedy has placed these employees in precarious conditions as the have to move on foot from December 02, 2017. 

The vehicle that department office had has been done away with without replacement. Workers in blue uniforms are seen moving on island in hot sun with ladders and other equipments on their shoulders walking. This causes delays to public and exhaustion to workers. This is twenty first century Goa!

Power Minister of Goa Pandurang Madkaikar, who is also local MLA from these place must cease to use any vehicles to move from his home in Old Goa to anywhere in Cars and other vehicles till the replacement four wheeler vehicle is given to the above mentioned Electricity Department employees. Mr. Madkaikar must go walking to his office at Goa Legislative Assembly every day. Only then he will realize the plight of the worker of his department stranded without a vehicle to move on foot.

Bharat Mukti Morcha calls for immediate replacement vehicle to these workers to help ease their journeys to attend calls from public.

Police investigations on BMM?

Just received information reveals that Goa Police CID has launched secret investigations on office bearers of Bharat Mukti Morcha (BMM) Goa Unit. People going to get the pass port clearances to police department are questioned about Bharat Mukti Morcha office bearers. 

In one instance that has come to our attention and we wish to share publicly is of one such policemen named Nitesh Borkar, CID, Police Headquarters, Panjim mobile number 7057088272. He is reported to have investigating travel mode and source of livelihood of Bharat Mukti Morcha Goa President Maggie Silveira. For nearly five days two policemen were posted this week at Vanxim Amboi Ferry point near Hotel Devaya to check mode of travel and vehicle number plate. Policemen did not bother to report release of sewage from Devaya Hotel into Mandovi river nor siphoning of water pipeline coming to Vanxim island by Devaya Hotel. Neither police nor one who put police on this task is really bothered about these issues.

Bharat Mukti Morcha will hold Goa Police CID responsible in case anything untoward occurs to any of the BMM office bearers all over the Goa. This insecurity with Goa police has triggered after BMM press conference on November 14, 2017 issued a statement against India's shipping Minister Nitin Gadkari, Environment Minister of India Harsh Vardhan and Chief Minister of Goa Manohar Parrikar. To read this critical statement click here. BMM will not cow down and request police to contact BMM office bearers directly instead of beating around the bush. BMM do not consider police as our enemy. BMM enemy is Bamon Raj and freedom from this Raj is our birth right and we will achieve it. 

Indian Politics currently operates in non-transparent manner as political parties are excluded from the ambit of Right to Information Act.

Porta de Capao a gate way to resolute resistence against Ozone take over of Vanxim

From the office of the Goa Archbishop to the office of the Deputy Collector in Panjim, Bangalore based company Ozone Propex Private Limited is on its way to becoming East India Company to Vanxim in Mandovi river with entrance at Old Goa. It has created a complex network of support corporate to take over Vanxim with integral links with banks, venture capital, mortgage loans etc. Here Bharat Mukti Morcha (BMM) has dissections of key links for the sake of public clarity. 


1. Agreement to sale of Vanxim was signed between Mahendra Gaunekar and Fr. Victor C. Rodrigues (on behalf of Archbishop Raul Gonsalves on 09/04/1999. Click here. Agreement concealed address of the Mahendra Gaunekar. If needed Archbishop would sell the land directly to the corporate recommended by Mahendra Gaunekar.

2. In 1995 late Ligorio Silveira filed complaint regarding breach of Vanxim bunds due to corruption in Tenant Association of Vanxim. Click here. Till date government has not attended to this.

3. Fr. Arlino D'mello, on behalf of Archbishop Felipe Neri Ferrao sold Vanxim to Mahendra Gaunekar in 2006. What was started by Archbishop Raul Gonsalves was completed by Archbishop Neri; both acted in secrecy. Claims of NOC from Vanxim Tenants Association are still unsubstantiated.

4. In 2016 January office of Goa Archbishop made it public that it favoured corporate and created hurdles to grants rights to tenants from 1995. Click here.

5.  Mahendra Gaunekar got into eight more sale deeds between 2006 and 2008 to buy off paddy fields of Vanxim. Click here.

6. In 2009 Joint Development Agreement signed between Mahendra Gaunekar and his wife Sonali with various concerns of Ozone corporate. Its recorded that after selling paddy fields Archbishop will facilitate take over of residential areas in Vanxim all together 180 acres. Click here. This process has started. Legal relationship of lease from Santa Monica is forced to be cancelled and new relationship of sale at high economic cost is pushed through on many. Corporate Ozone will decide affairs of Vanxim. In other words Vanxim will function as SEZ.

7. In 2010 vanxim scam came to light as some people were called to sign papers at Bicholim Mamlatdar's office and offered cash. Revolt begins.

8. People began to receive letters from Deputy Collector at Panjim as Mahendra Gaunekar filed for negative declarations to change land records. Fr. Victor Rodrigues facilitated this process with his notorious letter. Click here. Number of people were dragged to court into litigation. Forced to pay lawyers. Those who compromised corporate paid up lawyers fees.

9. Around 2010 Ozone took over one abandoned hotel on Mandovi baks at Old Goa near North Goa MP Shripad Naik residence (and least bothered about Vanxim food insecutity due to paddy fields submergence) and designed it as "Porta de Capao", this is in Portuguese which means "Starting Point of Capao". 10. On June 08, 2017 this hotel construction got sanction of 15 crore loan recommendation from ICRA. The documents terms OLRPL as a special purpose vehicle (SVP) of Ozone group. OLRPL stands for Ozone Leisure and Resorts Private Limited that plans to develop a large scale luxury villa-cum-resort project on Vanxim isalnd. OLRPL is 100% held by Ozone Propex Private Limited. 12. This Ozone Propex from Bangalore has set up Special Purpose Vehicle (SPV) called Ozone Leisure and Resorts Private Limited (OLRPL) and are located in Campal, Panjim and press refers them as Goa based company. They have kept their Bangalore parental connections hidden. Click here. OLRPL has listed two companies as their partners namely HDFC Property Fund, and Urban Infrastructure Opportunities Fund.

Arrested Sabaji Shetye's Vanxim connections must be probed

On June 06, 2017 evening media broke the news that Additional Collector Sabaji Shetye arrested by Anti-Corruption Bureau. He allegedly demanded the bribe of Rs. 1.50 lakh but was paid Rs.25,000/- to process N.O.C for explosive license. News spread like a wild fire across Goa and beyond particularly because he was known to operate suspicious manner but was never caught by authorities. 

We know him from the time he was a deputy Collector in Panjim. It was his court that Vanxim tenancy cases were heard for the Condonation of delay to re-start the proceedings in 1995 cases. Sabaji Shetye played this role in highly suspicious manner. Sabaji one by one went on passing orders granting condonation of delay to benefit Mahendra Gaunekar and Ozone corporate after the office of the Archbishop betrayed People of Vanxim by selling island bunds and Paddy fields to Mahendra Gaunekar in highly secretive manner.

We know the conduct of Sabaji Shetye in Ligorio Silveira v/s Mahendra Gaunekar case No: TNC/DYCL/APPL/74/2009. He granted condonation of delay even though he had no powers to do so. In fact it was then Lawyer of Mahendra Gaunekar who is now a High Court Judge  pointed out in Administrative Tribunal President that the office of the Deputy Collector has no powers to grant condonation of delay.

In this manner Sabaji Shetye has betrayed public. Now we know that he has a habit of accepting bribe. It is plausible to conclude from his conduct in Ligorio Silveira case, and other Vanxim cases that Sabaji Shetye has accepted the favors in kind or cash to pass order granting condonation of delay favoring Mahendra Gaunekar. This he did even without powers to do so. Powers lies with Administrative Tribunal.

Now that Sabaji Shetye’s character is publicly exposed it is a must that all his decisions be reviewed; for he played a role of tiny conduit strip down Vanxim tenants of the legal titles by subjecting them to prolonged litigations. It is based on Sabaji Shetye’s mischief that Vanxim people are deprived of land titles of their land. The question is; how much money Sabaji has taken from Mahendra Gaunekar or his agents in order to grant condonation of delay?

It is because of this situation that Vanxim has been punished through inclusion under Investment Promotion Board. Board members led by Manohar Parrikar, the Chief Minister of Goa are under what Giorgos Kallis calls the spell of “Growth Curse”.  Its pretty evident that he is under the spell of Growth curse considering that he doesn’t care for butchering of several hundreds of trees to expand highways connecting Agassaim to Verna for a new Zuari bridge. Cortalim highway stretch has witnessed mass cutting down of trees too. Earlier nearly 100 trees were cut down to widen the road from Bambolim to Dona Paula via Goa University. Now, additionally 900 trees are declared will be cut down to widen highway connecting Cortalim to Vasco by Public Works Department (PWD) headed by Minister Sudhin Dhavlekar.  When there are already tow functioning bridges over Mandovi there was no need to construct the third one by wasting public financial resources.

Goa Government is sending its annual jaunts to Cannes in France to learn as to how to go about organizing International Film Festival of India (IFFI). How come it never came in the mind of Goa Government think tanks learn lessons from Grenoble city in France that has replaced Bill boards with trees? Why the nasty Billboard are occupying spaces in Goa next to public road while trees are being cut down? Why these Billboards are not razed to the ground, uprooted and trees planted?

IFFI has only extended underworld mafia from Bombay to Goa and today controls number of Politicians in insidious manner. This is the reason as to why Gambling legalized in Goa by BJP supported Francisco Sardinha government in 1990s still continues to wreck havoc with social, economic, cultural and ecological fabric of Goa. 

Anyway, Chief Minister Manohar Parrikar is not alone to be spell bound by Growth Curse. The rest of members too are equally likely to be under the curse. They are Tourism Minister Babu Azgaonkar, Industries Minister Rohan Khunte, and Representatives from Industry on IPB Atrey Sawant, Ernest Dias, Yatin Kakodkar, Girish Bharne, Rajkumar Kamat and Kaman Shekar Sardessai. The IAS officers who are on the board are Secretary (Industry) and Secretary (Tourism) whose unofficial role is to collect money bags for Central Government on the same lines that Manohar Parrikar said sometime ago that MoEF officials are collecting brief cases to grant EC clearances to mining companies in Goa. Same logic applies to IPB. 

According to highly placed source at IPB, the political role of handing over large tracks of Goa’s land for corporate houses is to make sure that Goa is ruled by non-Goans in next five years and students passing out from Engineering Colleges in are gainfully employed in Goa.  In fact it looks that the essential qualification needed to be on IPB is to be under Growth Curse spell. Sabaji Shetye played his role to please his masters – political and economic. Now it is surprising that he is caught red handed in bribery case; perhaps he was becoming too greedy and keeping all the booty from corruption to himself without demanded share by higher ups. 

Now with Sabaji Shetye’s arrest all the orders he passed have now come under nail of suspicion. His orders condoning delays in Vanxim tenancy cases involving Mahendra Gaunekar must be revoked and land titles reverted back to the People of Vanxim. This is a rare occasion for the State and the Archbishop of Goa to apply their minds and embark on correction path as corruption and bribery of Sabaji Shetye is caught red handed.

Handing over Vanxim Island for the pleasure of the rich by putting Five star hotel and luxury villas in Paddy fields and green areas is certain tragedy of the commons. According to Giorgos Kallis in his book in defence of degrowth: Opinions and Minifestos (Open Commons: March 2017) writes “ Nobel laureate in Economics Elinor Ostrom showed that the commons do not inevitably end up in tragedy and they do not have to be privatized or managed by the State. The communities she studied, more often than not, found ways to pool efforts together, devise their own institutions, and govern their shared resources sustainably.”

Archbishop of Goa talks often of nurturing of small christian communities but cares a damn that his office has sold off Vanxim community cultivation land and fishing spaces to a neighborhood Casino Gambler at Altinho, Panjim where Archbishop resides to gamble his way through at the cost of Public Interest. In sale deed as well as in Agreement to sale it is carefully concealed that buyer of Vanxim is Archbishop's neighbour in Altinho, Panjim.

Disgusting state of affairs as this is not the first time Goa Archbishop’s office has done things this way. Why till date lead of secrecy is not lifted on the documents related to Vanxim sale? Why the office of Archbishop has created situation to put itself in public embarrassment? Why the office of the Goa Archbishop kept letters it sent to Vatican asking permissions from Pope John Paul II with all attached documents kept in concealed state? Why letter from the office of Pope John Paul II authorizing sale of Vanxim kept secret? Pope John Paul II is now a saint and it is strange that this correspondence has been kept secret?


The way nexus of the office of the Goa Archbishop is involved with corporate and negotiated the State agencies is a way to consolidate its path to Capitalism. Giorgos Kallis has put the context very succinctly “The frightening reality is that capitalism is a mad joke peddled by money-addicts with no clue of why they are doing what they are doing, other than that they are doing it and that they have to keep doing it.” Vanxim fits the bill.
